The Significant Amendments to the Law “On State Registration and State Registry of Legal Entities”

As of 9 February 2026, amendments to the Law of the Republic of Azerbaijan “On State Registration and State Registry of Legal Entities” establish a new annual reporting requirement for legal entities. The purpose of these changes is to enhance the accuracy of registered data and promote greater transparency within the state registry. Under the revised provisions, following the end of each calendar year, legal entities are required to prepare, within one month, a statement confirming whether any amendments have been made to their registered information. This includes any changes to founding documents or to details reflected in the state registration records. The obligation applies to commercial legal entities, as well as to representative offices and branches of foreign commercial entities operating in Azerbaijan.

The report must be submitted to the State Tax Service either in hard copy or electronically no later than the 31st day of the month following the reporting year. Importantly, the reporting duty arises irrespective of whether any changes have occurred. Even in the absence of amendments, entities must file the relevant confirmation.

While this amendment introduces an additional compliance requirement, it is intended to ensure that registry information remains up to date and reliable.
