Jul, 2025

In a move that aligns Azerbaijan with global legal standards, the Supreme Court has clarified domestic procedures for recognizing and enforcing foreign arbitral awards under the New York Convention. The update removes ambiguity and builds greater confidence among foreign investors and international businesses.

Impact of the Clarification:

  • Strengthens Azerbaijan’s credibility as an arbitration-friendly jurisdiction
  • Simplifies the enforcement of awards issued by foreign arbitral institutions
  • Provides clear procedural guidance to both local and international parties

This judicial clarification is seen as a major step toward legal harmonization, making Azerbaijan a more attractive venue for cross-border commercial activity and investment.

New Corporate Reporting Obligations

Simultaneously, the government has rolled out new corporate transparency rules requiring legal entities to report critical changes in a timely and accurate manner.

Entities Subject to Reporting:

  • Limited Liability Companies (LLCs)
  • Joint-stock companies
  • Branches and representative offices of foreign companies
  • Startups and SMEs registered in Azerbaijan

Reportable Changes Include:

  • Transfer of ownership or shares
  • Change of legal or actual address
  • Appointment or dismissal of directors and executives
  • Structural changes such as mergers, reorganizations, and liquidation

Risks of Non-Compliance:

  • Administrative fines and legal sanctions
  • Delays or restrictions in licensing, audits, or public tenders
  • Increased regulatory scrutiny

Best Practices:

  • Conduct Regular Legal Reviews: Work with legal and tax experts to stay ahead of deadlines.
  • Maintain Internal Records: Ensure your company registry, director list, and legal documents are always current.
  • Update During Restructuring: Take extra care during reorganizations, bankruptcies, or wind-downs.

These reforms are part of a larger national strategy to foster good governance, reduce corruption, and support responsible enterprise operations in Azerbaijan.
